Order Acceptance – The acceptance of Buyers order by the Seller is conditional on the Buyers agreement to the terms stated herein.

Pricing - The price for the products offered shall be adjusted to the Sellers published price or contract price at time of shipment.

Delivery - Unless otherwise specified, all delivery of goods are FOB Buyers facility.  Ownership of goods will pass to Buyer upon delivery to Buyer’s facility.  Seller will not consider claims for damages and shortages in shipments unless claim is submitted to Seller within (30) thirty days of the date of shipment.  Claim must be submitted with documents sufficient to substantiate the claim.

Terms of Payment – Payment will be in accordance with Sellers invoice.  All sales are on a cash basis unless a credit facility has been established between the Seller and the Buyer.  If a discount is offered for prompt payment, Buyer must deduct such discount from invoice and remit within discount period. 

Cancellation – An order can not be cancelled without the Sellers consent and upon terms that will indemnify Seller against loss

Return of Merchandise - Merchandise can not be returned by Buyer without consent and original sales order receipt.  Return must be transacted within 90 days of date of delivery.  Merchandise must be in original wrappers and cartons.  Merchandise that as been cut, drilled, or altered in any way is not returnable.

Warranty – Seller warrants to the Buyer that the product delivered will be free from defects from material and workmanship.  The product is warranted to the extent of the original warranties provided to seller by the original manufacturer of the goods.

Claims – Any defect in merchandise should be reported to the Seller  immediately.  All mill identification numbers and samples identifying the problem must be submitted for review by the manufacturer.  If the product is deemed to be defective by the manufacturer, Seller will make every effort to settle the complaint.  Liability will be limited to the manufacturer’s settlement.

Limitation of Liability – Sellers liability to Buyer on any claim of any kind based on negligence, warranty, or otherwise shall in no case exceed the purchase price for the goods or services which gives rise to the claim.  In no event shall seller be liable to Buyer for any special, indirect, incidental or consequential damages as a result of the sale, delivery, non-delivery, servicing, use or loss of use of the goods or any part thereof, or for any charges or expenses of any nature incurred.  Seller shall not be liable for delay or failure to perform due to causes beyond Sellers control.
